License Agreement

NSRonline End User License Agreement

IMPORTANT — READ THESE TERMS CAREFULLY BEFORE VIEWING OR DOWNLOADING DOCUMENTS. By viewing and downloading NSRonline you are entering into a contract, and acknowledge that you have read this NSRonline End User License Agreement (the "Agreement"), that you understand it and agree to be bound by its terms. If you do not agree to the terms of this Agreement, promptly exit this page; you will be unable to access NSRonline.

Ownership

NSRonline is provided by Gary D. McCutchen. You acknowledge and agree that the documents contained in NSRonline are proprietary to Gary McCutchen and are protected under U.S. copyright law and international copyright treaties. You further acknowledge and agree that all right, title, and interest in and to the documents contained in the NSRonline, including all intellectual property rights, are and shall remain with Gary McCutchen.

Limited License

Gary McCutchen grants you a limited, nonexclusive, non-transferable license to view or download an electronic file containing NSRonline for temporary storage on one (1) computer for individual use only. You may print one (1) copy of NSRonline for backup purposes only. Neither the electronic file nor the single hard copy backup print may be reproduced in any way. In addition, the electronic file may not be distributed elsewhere over computer networks or otherwise (the electronic file cannot be e mailed, downloaded to disk, copied to another hard drive or otherwise shared). NSRonline may not otherwise be sold or resold, rented, leased, lent or sub-licensed. You shall not merge, adapt, translate, modify, rent, lease, sell, sublicense, assign or otherwise transfer any of NSRonline, or remove any proprietary notice or label appearing on any of the documents contained in NSRonline.

Verification

Gary McCutchen and/or Citation Technologies have the right to verify compliance with this Agreement, at its expense, and at any time during the course of normal business hours. If any verification reveals unlicensed use of NSRonline, you must reimburse Gary McCutchen and/or Citation Technologies for the costs incurred in verification and reimburse Gary McCutchen and/or Citation Technologies for any unlicensed uses. By invoking this procedure, Gary McCutchen does not waive any of its rights to enforce this Agreement or to protect its intellectual property by any other means permitted by law.

Passwords; Breach

You must immediately notify Citation Technologies of any known or suspected unauthorized use(s) of your password, or any known or suspected breach of security, including the loss, theft or unauthorized disclosure of your password or any unauthorized access to or use of NSRonline. You are solely responsible for maintaining the confidentiality of your password and for ensuring the authorized access and use of the NSRonline.

Termination

This Agreement is effective for a period of twelve (12) months. If you do not renew this Agreement upon termination, you must immediately discontinue use of and destroy all copies (hard, digital or in any media) of NSRonline. Gary McCutchen or Citation Technologies may immediately terminate this Agreement upon your any breach of any provision of this Agreement.

Governing Law, Venue, and Jurisdiction

This Agreement shall be interpreted and construed in accordance with the laws of the State of North Carolina without reference to its conflict of laws provisions. You agree to submit to jurisdiction and venue in the state and federal courts of the State and City of North Carolina for any dispute which may arise under this Agreement. You also agree to waive any claim of immunity you may possess.

Disclaimer of Warranty

Unless specified in this Agreement, all express or implied conditions, representations and warranties, including any implied warranty of merchantability, fitness for a particular purpose or non-infringement are disclaimed, except to the extent that these disclaimers are held to be legally invalid.

Indemnification

You shall indemnify Gary McCutchen and Citation Technologies, and their officers, directors, members and employees, and otherwise hold them harmless, against any claim, action or proceeding brought against Gary McCutchen or Citation Technologies any person alleging breach of this Agreement and/or any action or inaction by you in your use of NSRonline.

Limitation of Liability

To the extent not prohibited by law, in no event will Gary McCutchen be liable for any loss, damage, lost data or for special, indirect, consequential or punitive damages, however caused regardless of the theory of liability, arising out of or related to the use or downloading of the NSRonline. In no event will Gary McCutchen’s liability exceed the amount paid by you under this Agreement.
